1. Applicability
1.1 These general terms and conditions of sale apply to all agreements concluded between Handelsonderneming Pragma B.V. and its business clients through sales on www.pragma-trading.com.
1.2 Deviations from these terms and conditions are valid only if agreed in writing.

2. Offers and Agreements
2.1 The acceptance of quotations and orders will be determined by Handelsonderneming Pragma B.V.
2.2 Oral or telephone agreements are only binding after written confirmation by Handelsonderneming Pragma B.V.
2.3 Preparation, calculation, planning and consultancy costs may be charged even in the event of non-acceptance of an offer by the customer.
2.4 Specifications such as drawings, illustrations, and weight information are indicative. Deviations in material strength, size and construction may occur within certain margins.
2.5 Price changes are expressly reserved. When quoting, Handelsonderneming Pragma B.V. reserves the right to pass on these increased costs to its clients in case of increases in general costs such as labor costs, price increases of raw and auxiliary materials and transportation costs, except when explicitly quoted at fixed prices in writing.
2.6 All prices quoted by Handelsonderneming Pragma B.V. are exclusive of VAT and transport costs from the warehouse/warehouse, unless otherwise agreed in writing.

3. Intellectual Property
3.1 Handelsonderneming Pragma B.V. retains ownership of all designs and materials provided unless otherwise agreed in writing.

4. Control
4.1 Handelsonderneming Pragma B.V. is not liable for damages caused by incorrect information provided by the client.

5. Delivery
5.1 Indicated delivery times are subject to change.
5.2 In case of force majeure Handelsonderneming Pragma B.V. reserves the right to extend deliveries or cancel the agreement.

6. Packaging and Shipping
6.1 Goods are adequately packed according to industry conventions.
6.2 Shipping costs and any special packaging will be charged separately and will not be returned.
6.3 Risks related to transportation are with the customer, unless otherwise agreed.
6.4 shipment will take place upon receipt of payment, unless otherwise agreed.

7. Warranty and Defects
7.1 Handelsonderneming Pragma B.V. provides no direct warranty on delivered products unless explicitly stated otherwise. Exceptions are goods supplied under the manufacturer's warranty. In that case reference is made to the warranty conditions of the relevant manufacturer.
7.2 Complaints about delivered products must be reported in writing.
7.3 The foregoing does not apply if the reason for replacing or repairing the good is due to the client.

8. Retention of title
8.1 Delivered goods shall remain the property of Handelsonderneming Pragma B.V. until full payment has been made.
8.2 The customer may not alienate or encumber the items before full payment has been made.

9. Payment
9.1 Invoicing takes place immediately upon receipt of the order or on the day of shipment.
9.2 Delivery is on a prepayment basis, unless otherwise agreed.

10. Disputes
10.1 Disputes will be resolved according to Dutch law.
10.2 In case of insolvency Handelsonderneming Pragma B.V. may dissolve the agreement.
